These Terms and Conditions ("Terms") govern your access to and use of the website icestechhub.com and the services provided by ICES Tech Hub Private Limited ("ICES Tech Hub", "we", "us", "our"), a company registered in India (CIN: U72900OR2021OPC036684). By using our website or engaging us for any service, you agree to these Terms.
1. Our Services
We provide web development, mobile application development, custom software development, graphic design, digital marketing and social media management services. The scope, deliverables, timelines and fees for each project are set out in a separate quotation, proposal or agreement ("Project Agreement"). If a Project Agreement conflicts with these Terms, the Project Agreement prevails for that project.
2. Client Responsibilities
To allow us to deliver on time, you agree to provide accurate information, content, images, logos and access credentials when requested, respond to review requests within a reasonable time, and ensure that any material you provide does not infringe third-party rights. Delays caused by late feedback or missing material may extend project timelines.
3. Payment Terms
Unless the Project Agreement states otherwise, an advance payment is required before work begins. Remaining payments are due according to the agreed milestones or on delivery. Prices are quoted in Indian Rupees (INR) and are exclusive of applicable taxes, including GST, unless stated otherwise. We may pause work if payments are overdue.
4. Project Start
A project is considered started when the advance payment is received and any work on it begins, including requirement analysis, planning, design, development, content work or account setup, whichever happens first.
5. Refunds
Once a project has started, no refund will be initiated at any cost. Please read our Refund Policy for full details.
6. Intellectual Property
Until full payment is received, all work product, source code, designs and materials remain the property of ICES Tech Hub. After full payment, the client receives ownership of the final deliverables specified in the Project Agreement. We may reuse our general tools, frameworks, libraries and know-how, and may display the project in our portfolio unless you request otherwise in writing. Third-party software, plugins, fonts, stock images and licenses remain subject to their own license terms.
7. Confidentiality
Each party will keep confidential any non-public information received from the other in connection with a project, and will use it only for that project, except where disclosure is required by law.
8. Hosting, Domains and Third-Party Services
Unless included in the Project Agreement, domain registration, hosting, SSL certificates, payment gateway charges and other third-party services are the client's responsibility and are subject to those providers' terms. We are not liable for downtime or issues caused by third-party services.
9. Warranty and Support
We will make reasonable efforts to correct defects in our work that are reported within the support period stated in the Project Agreement. Support does not cover new features, content changes beyond the agreed scope, or issues caused by unauthorized changes, third-party software or hosting environment problems.
10. Limitation of Liability
To the maximum extent permitted by law, ICES Tech Hub's total liability for any claim arising out of a project or these Terms shall not exceed the amount actually paid by the client for that project. We are not liable for indirect, incidental, special or consequential losses, including loss of profits, data, business or goodwill.
11. Termination
Either party may terminate a project by written notice if the other party materially breaches these Terms and does not remedy the breach within a reasonable period. Termination does not entitle the client to a refund of amounts paid for work already started, as described in our Refund Policy. Fees for work completed up to the date of termination remain payable.
12. Website Use
You agree not to use our website for unlawful purposes, attempt to disrupt or gain unauthorized access to our systems, or copy or misuse our content without permission. Content on this website is for general information and does not constitute professional advice.
13. Changes to These Terms
We may update these Terms from time to time. The revised version will be posted on this page with an updated date. Continued use of our website or services after changes means you accept the revised Terms.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts in Berhampur, Odisha, India.
